1. Terminology and Agreements
The following terminology applies to these Terms and Conditions, Privacy Policy, Disclaimer Notice, SMS Terms of Service, SaaS Platform Terms, and all Agreements: "Client", "You" and "Your" refers to you, the person or business accessing this website or receiving services from Integris Design LLC. "The Company", "Ourselves", "We", "Our" and "Us", refers to Integris Design LLC. "Party", "Parties", or "Us", refers to both the Client and ourselves.
These Terms and Conditions are incorporated into every proposal, statement of work, and agreement signed with Integris Design LLC. If a signed proposal or agreement conflicts with these Terms, the signed proposal or agreement controls for that specific item.
2. Cookies
We employ the use of cookies. By accessing IntegrisDesign.com, you agree to use cookies in agreement with Integris Design LLC's Privacy Policy.
3. License
Unless otherwise stated, Integris Design LLC and/or its licensors own the intellectual property rights for all material on IntegrisDesign.com. All intellectual property rights are reserved. You may access this website for your own personal use subject to restrictions set in these terms and conditions.
- You must not republish material from IntegrisDesign.com.
- You must not sell, rent, or sub-license material from IntegrisDesign.com.
- You must not reproduce, duplicate, or copy material from IntegrisDesign.com.
- You must not redistribute content from IntegrisDesign.com.
4. Service Term and Cancellation
- Initial Term: Each engagement begins with the initial term stated in the Client's signed proposal or agreement, which may be month-to-month, six (6) months, twelve (12) months, or another stated period. If no initial term is stated, services are provided month-to-month.
- After the Initial Term: When the initial term ends, services continue on a month-to-month basis until either party gives notice under this section.
- Cancellation by the Client: The Client may end month-to-month services with thirty (30) days' written notice. If the Client ends services before the initial term is complete, the fees for the remainder of the initial term remain due.
- Cancellation by Integris Design LLC: Integris Design LLC may end services for any reason with thirty (30) days' written notice, or immediately for non-payment or violation of these Terms as described in Section 16.
- Fees Through the Notice Period: All fees and charges incurred through the end of the notice period remain due and payable.
5. Payment Terms
All undisputed invoices must be paid in full within thirty (30) days of issuance unless otherwise stated in writing.
Invoice Disputes: To dispute an invoice, the Client must notify Integris Design LLC in writing within fifteen (15) days of the invoice date, identifying the specific charges in question and the reason. Any invoice or charge not disputed in this way is considered undisputed. Undisputed portions of an invoice remain due on time while a dispute is reviewed.
6. Retainer Hours
Hours included in a monthly retainer apply only to the month in which they are billed. Unused hours do not roll over to future months and are not refundable or creditable, including at cancellation. Work beyond the hours included in a retainer is billed at the hourly rate stated in the Client's signed proposal or agreement.
7. Advertising Spend Billed Through Integris Design LLC
For clients whose advertising spend is paid by Integris Design LLC and rebilled to the Client:
- Advertising spend is billed at the actual cost charged by the advertising platform, within the budget approved by the Client.
- Variances in platform delivery, pacing, or results are not refundable or creditable.
- Review Window: The Client may request a review of advertising charges covering up to thirty (30) days before the date of the request. Charges older than thirty (30) days are final and are not subject to review, adjustment, credit, or refund.
8. Third-Party Subscriptions and Commitments
Some services, such as Google Workspace, software licenses, and platform subscriptions, are purchased by Integris Design LLC on the Client's behalf under annual or fixed-term commitments set by the provider. The Client is responsible for the full cost of any such commitment through the end of its term, including if the Client removes users, reduces licenses, cancels services, or transfers to another provider before the term ends. These amounts are billed under the same payment terms as all other invoices.
9. Offset of Referral Fees and Partner Payments
If any client, partner, affiliate, referral source, reseller, or finder owes past-due undisputed amounts to Integris Design LLC under any written agreement between the parties, Integris Design LLC may withhold, offset, or apply any commissions, referral fees, credits, rebates, revenue share amounts, or other sums otherwise payable to such party against the outstanding balance.
Integris Design LLC may suspend payment of commissions, referral fees, or other partner-related payments while any undisputed invoice remains past due.
If any undisputed balance remains unpaid for more than sixty (60) days from the invoice date, Integris Design LLC may, upon written notice, suspend or terminate eligibility for future commissions, referral fees, or participation in any referral, affiliate, reseller, finder, or partner program.
These rights are cumulative and do not limit any other remedies or rights available to Integris Design LLC under applicable law or agreement.
10. Service Suspension and Reactivation
If any undisputed invoice remains unpaid for more than thirty (30) days from the invoice date, services may be suspended until the outstanding balance is paid in full.
No Obligation While Unpaid: While an account is past due, suspended, or terminated for non-payment, Integris Design LLC has no obligation to maintain, restore, support, export, or transfer any website, account, data, or service, except the Courtesy Access Release described in Section 14. Suspending, deactivating, or declining to transfer services for non-payment is not a breach of any agreement and is not a wrongful withholding of property. Integris Design LLC is not liable for any resulting loss of business, traffic, leads, rankings, or data.
Reactivating suspended services requires administrative and technical effort. Therefore, a reactivation fee of $350 may be charged to cover the time and resources involved in restoring services.
Renewals During Suspension: Integris Design LLC is not responsible for domains, hosting, email, software subscriptions, phone numbers, or other third-party services that lapse, expire, or are released while an account is suspended or after termination.
11. Administrative Fees for Collection Efforts
Clients who fail to make timely payments may be subject to administrative fees to cover the time and resources required to issue reminders, follow up on overdue invoices, and process collections.
- These fees will be applied only in cases of habitual late payments and will be disclosed in advance on the client's invoice.
- Administrative fees will be assessed based on reasonable collection costs and within North Carolina legal limits.
12. Intellectual Property & Service Licensing
Integris Design LLC provides services on a subscription-based licensing model. Clients are granted a limited, non-transferable, and revocable license to use the websites, designs, and technologies developed by Integris Design LLC while payments and agreements remain active.
Client Content vs. Integris Design LLC Content:
- Client-Owned Content: Clients retain ownership of any content they provide, including logos, text, images, and branding materials.
- Integris Design LLC-Created Content: Any custom content, articles, copywriting, SEO-optimized materials, graphic design elements, branding enhancements, or proprietary frameworks developed by Integris Design LLC remain our intellectual property unless a separate written agreement states otherwise.
- License to Use: Clients receive a non-exclusive, revocable license to use content created by Integris Design LLC during the duration of our working relationship. Upon termination of services, clients may not use, resell, or distribute our proprietary content, designs, or optimizations without express written permission.
13. SaaS Platform and Licensed Software Access
Integris Design LLC may provide access to software platforms, CRM systems, automation tools, portals, dashboards, communication systems, and other SaaS environments as part of its services.
Access to these systems is provided on a licensed, subscription-based basis and does not transfer ownership of the software, system architecture, automation workflows, templates, or platform configurations.
- Licensed Access: Clients receive a limited, revocable, non-transferable license to use the systems while services remain active and invoices remain current.
- No System Ownership: Clients do not obtain ownership of system structures, automation logic, CRM pipelines, funnel frameworks, SaaS templates, dashboards, or configurations created by Integris Design LLC.
- Third-Party Platforms: Many services rely on third-party platforms, infrastructure providers, or software vendors. Integris Design LLC is not responsible for outages, service interruptions, pricing changes, or policy modifications imposed by these providers.
- Account Access: Access to SaaS systems may be suspended or revoked if services are terminated, invoices remain unpaid, or platform policies are violated.
- System Replication: Clients may not duplicate, copy, reverse engineer, replicate, or redistribute automation systems, funnel structures, templates, SaaS configurations, or proprietary frameworks developed by Integris Design LLC.
14. Client-Owned and Integris-Owned Accounts
- Client-Owned Accounts: For accounts registered in the Client's name, such as domains, Google Business Profile, advertising accounts, analytics, or social media accounts, Integris Design LLC's only obligation at termination is to remove its own access.
- Courtesy Access Release: Even if an account is past due, suspended, or terminated, the Client may submit a written request by email to getstarted@integrisdesign.com identifying the specific assets it owns, such as domains, Google Business Profile, social media pages, advertising accounts, analytics, or phone numbers registered in the Client's name or ported in by the Client. For each requested asset that is registered to the Client, Integris Design LLC will extend owner-level access or release its control at no charge. Ownership is determined by the registration records of the platform or provider. Integris Design LLC will begin this work within ten (10) business days of receiving the request. Completion may take longer depending on the requirements and waiting periods of each platform, registrar, or carrier.
- Scope of Release: The Courtesy Access Release covers access only for the assets the Client identifies. Integris Design LLC is not responsible for identifying assets the Client does not list. The release does not include setup, troubleshooting, migration, reporting, or any other work, and it does not reduce or waive any outstanding balance. Tracking numbers, platforms, and tools provisioned by Integris Design LLC are not Client-owned assets.
- Google Workspace and Email: Google Workspace and email services provided through Integris Design LLC may be suspended for non-payment. Upon written request, Integris Design LLC will provide the information needed for the Client to transfer the subscription to another provider, subject to the provider's transfer rules. A transfer does not reduce or waive any outstanding balance, including subscription commitments described in Section 8. If the subscription is not transferred within thirty (30) days after suspension, Integris Design LLC may cancel it, and the account's email and data may be permanently deleted.
- Integris-Owned Accounts: Accounts, platforms, tracking numbers, phone numbers, and tools registered to or licensed by Integris Design LLC remain the property of Integris Design LLC and are not transferred unless agreed in writing.
15. Project Termination & Asset Transfer
- Transfer Conditions: Any export, transfer, or handover of websites, content, domains, accounts, data, or phone numbers requires that the Client's account be paid in full, including all fees through the end of any notice period or remaining initial term. Integris Design LLC has no obligation to perform any transfer while a balance is outstanding, except the Courtesy Access Release described in Section 14.
- Client Copies: Materials the Client provides to Integris Design LLC, including logos, photos, video, text, and documents, are treated as copies, and the Client is presumed to retain the originals. Integris Design LLC works from those copies and is not responsible for storing, backing up, or returning the Client's original materials.
- Website Export: Once the Transfer Conditions are met, Integris Design LLC will provide an XML export of the website's basic content, which a professional developer can use to reconstruct the site.
- Offboarding Work: Transfer and migration work, including the XML export, domain and DNS changes, account access changes, data exports, and phone number porting, is billed at our current hourly rate and is due in advance. Integris Design LLC is not obligated to configure, migrate, or support services on another provider's platform.
- Data Retention: Website files and platform data are retained for thirty (30) days after termination or suspension and may then be permanently deleted. Clients are responsible for requesting any export before that period ends.
Proprietary assets including but not limited to custom-built designs, SEO-optimized content, branding elements, website frameworks, backend development tools, automation systems, and integrations remain the exclusive property of Integris Design LLC and will not be transferred.
16. Right to Refuse or Terminate Service
Integris Design LLC reserves the right to refuse, suspend, or terminate service at our discretion, including but not limited to the following circumstances:
- Non-Payment
- Violation of Terms
- Abusive Behavior
- Misrepresentation
- Business Conflicts
Termination due to non-payment or violations of terms may occur without prior notice where permitted. Termination for any other reason will follow the notice period in Section 4.
17. Limitation of Liability
To the fullest extent permitted by law, Integris Design LLC shall not be liable for any indirect, incidental, special, or consequential damages including lost profits, lost data, or business interruptions.
18. Force Majeure
Integris Design LLC shall not be liable for delays or failure in performance due to events beyond reasonable control including natural disasters, cyberattacks, outages, or changes in laws.
19. Refund & Dispute Resolution
All payments made to Integris Design LLC are non-refundable unless otherwise stated. Disputes must be resolved via arbitration in North Carolina under AAA rules, except that Integris Design LLC may pursue collection of unpaid invoices in small claims court or any other court of competent jurisdiction in North Carolina.
20. Confidentiality
Both parties agree to keep confidential all non-public information exchanged including business strategies and proprietary website structures.
21. Acceptable Use Policy
Clients using our hosting services or managed systems must adhere to ethical and legal use of digital resources.
22. Payment Methods for Habitually Late Clients
- Clients who consistently fail to make timely payments may be required to pay via check instead of credit or debit cards.
23. Delinquent Account Payment Method
In the event an account becomes past due or billing is disputed, Integris Design LLC reserves the right to require payment via ACH, wire transfer, or check for any outstanding balances, reinstatement fees, or future services. Credit card payments may be restricted or declined for disputed or delinquent accounts. Services may be suspended until payment has cleared.
24. Notices and General Terms
- Written Notice: Email to the address on file for the other party counts as written notice under these Terms. Notices to Integris Design LLC should be sent to getstarted@integrisdesign.com.
- Governing Law: These Terms are governed by the laws of the State of North Carolina.
- Survival: Payment obligations, intellectual property rights, limitations of liability, and the asset transfer terms in these Terms continue to apply after services end.
- Severability: If any part of these Terms is found unenforceable, the rest of these Terms remain in effect.
- No Waiver: If Integris Design LLC does not enforce a term at any time, that does not waive its right to enforce it later.
25. Changes to These Terms
Integris Design LLC may update these Terms from time to time. The current version is always posted on this page with its Last Updated date. Continued use of our services after an update takes effect constitutes acceptance of the updated Terms.
