SaaS Platform Terms

Software as a Service (SaaS)

Integris Design LLC may provide access to software platforms, marketing automation systems, CRM systems, analytics dashboards, messaging tools, telephony services, and other digital tools delivered through a Software as a Service (“SaaS”) model.

These services may be operated directly by Integris Design LLC or provided through third-party infrastructure providers. By accessing or using these services, you agree to the terms outlined below.

No Service Guarantees

All SaaS services are provided “as is” and “as available.”

Integris Design LLC makes no guarantees regarding:

  • system uptime
  • uninterrupted service
  • error-free operation
  • feature availability
  • compatibility with all devices or browsers
  • service performance

Service interruptions may occur due to system maintenance, infrastructure updates, software changes, security updates, vendor outages, internet connectivity issues, or events outside our control.

Integris Design LLC shall not be responsible for service interruptions, downtime, delays, or platform errors.

Third-Party Platform Infrastructure

Many SaaS services rely on third-party providers, including but not limited to CRM platforms, hosting infrastructure, telephony services, messaging providers, artificial intelligence services, analytics systems, marketing platforms, and payment processors.

Integris Design LLC does not control these platforms and cannot guarantee their availability, reliability, security policies, feature set, or continued operation. Changes or outages from these providers may affect system functionality.

No Marketing or Business Performance Guarantees

Access to SaaS platforms, automation systems, analytics dashboards, or marketing tools does not guarantee business results.

Integris Design LLC does not guarantee:

  • increased revenue
  • increased leads
  • advertising performance
  • search rankings
  • conversion rates
  • marketing outcomes

Performance depends on many factors outside our control.

Advertising and Marketing Spend Disclaimer

Clients who use the platform for advertising or marketing campaigns acknowledge that advertising budgets, marketing spend, and campaign performance are outside the control of Integris Design LLC.

Integris Design LLC is not responsible for losses associated with advertising spend, campaign performance, or marketing strategy outcomes. Clients assume full responsibility for all advertising budgets and marketing expenditures.

Non-Transferable License

Access to SaaS services is granted as a limited, non-transferable license.

Accounts may not be:

  • sold
  • transferred
  • sublicensed
  • resold
  • shared outside the client organization

Violation of this policy may result in account suspension or termination.

Platform Modifications

Integris Design LLC may modify, replace, update, or discontinue platform features at any time. This may include changes to automation tools, integrations, CRM features, messaging tools, reporting dashboards, analytics systems, and artificial intelligence functionality.

These changes may occur due to vendor updates, infrastructure changes, security requirements, or evolving technology.

Data Responsibility

Clients are responsible for maintaining copies of important data.

Integris Design LLC does not guarantee permanent storage or retention of platform data. Clients should maintain independent backups of any critical business information.

Integris Design LLC is not responsible for lost data resulting from platform outages, vendor infrastructure failures, system errors, user actions, or account termination.

Messaging and SMS Compliance

Some SaaS services may include SMS messaging or automated texting tools. Clients are solely responsible for complying with all messaging laws and regulations, including but not limited to the TCPA (Telephone Consumer Protection Act), CAN-SPAM Act, CTIA messaging guidelines, and applicable international messaging regulations.

Clients must obtain proper consent (opt-in) before sending marketing messages.

Prohibited activities include:

  • sending unsolicited text messages
  • using purchased contact lists
  • deceptive or misleading messaging
  • illegal promotions or offers

Integris Design LLC is not responsible for messaging violations committed by clients. Clients assume full responsibility for their messaging practices.

Telephony Services

Some services may include voice calling features, call routing systems, voicemail, or call recording. Clients are responsible for complying with all applicable call recording laws and ensuring proper disclosures are provided where required.

Integris Design LLC is not responsible for misuse of telephony services or regulatory violations.

AI Tools and Automation

Some SaaS features may include artificial intelligence or automated systems. AI-generated content may include marketing copy, automated responses, workflow suggestions, or analytics summaries.

AI outputs may contain inaccuracies and should be reviewed before use. Integris Design LLC makes no guarantee regarding the accuracy, reliability, or suitability of AI-generated outputs.

Acceptable Use Policy

Clients may not use the platform for illegal, abusive, or harmful activities.

Prohibited activities include:

  • spam campaigns
  • illegal products or services
  • fraudulent activity
  • harassment
  • malware distribution
  • phishing attacks
  • copyright violations
  • unauthorized data collection

Integris Design LLC reserves the right to suspend or terminate accounts engaged in prohibited activities.

Account Security

Clients are responsible for maintaining secure login credentials and controlling access to their accounts. Integris Design LLC is not responsible for unauthorized access resulting from compromised credentials or improper security practices.

Suspension or Termination

Integris Design LLC may suspend or terminate platform access if:

  • service fees are unpaid
  • terms are violated
  • platform misuse occurs
  • security threats are detected
  • vendor policies require account removal

Termination may result in the loss of platform access and stored data.

Client Indemnification

Clients agree to indemnify and hold harmless Integris Design LLC, its owners, employees, and partners from any claims, damages, liabilities, or legal expenses arising from:

  • misuse of the platform
  • violation of messaging laws
  • advertising practices
  • regulatory violations
  • unlawful client activities
  • client-generated content

Clients assume full responsibility for how they use the platform.

Limitation of Liability

To the fullest extent permitted by law, Integris Design LLC shall not be liable for any indirect, incidental, or consequential damages, including lost profits, lost revenue, lost data, marketing losses, service interruptions, or business disruption.

Use of the platform is at the client’s own risk.

Class Action Waiver

Any disputes related to SaaS services must be resolved on an individual basis. Clients agree not to participate in class actions, group claims, or consolidated legal proceedings against Integris Design LLC.

Platform Dependency

Some services rely on third-party technology providers. If those providers modify their platforms, pricing, features, or availability, Integris Design LLC reserves the right to adjust service offerings, modify features, migrate systems, or discontinue certain services.

Data Retention

Platform data may be deleted after account termination. Clients are responsible for exporting any necessary information prior to ending service.

Compliance and Risk Enforcement

Integris Design LLC reserves the right to suspend, restrict, or terminate access to any SaaS service at its sole discretion if a client’s activities create legal, regulatory, reputational, or infrastructure risk.

This includes, but is not limited to:

  • suspected spam activity
  • violations of messaging regulations (TCPA, CAN-SPAM, CTIA guidelines)
  • abusive telephony practices
  • fraudulent activity
  • phishing or deceptive marketing
  • unlawful business activities
  • actions that may jeopardize third-party vendor relationships
  • activities that could result in platform suspension or carrier penalties

If Integris Design LLC determines that a client’s actions pose a compliance risk, the account may be immediately disabled without prior notice to protect the platform and other clients.

Integris Design LLC shall not be liable for any damages, losses, or business disruption resulting from such suspension or termination.

Integris Design LLC reserves the right to report suspected illegal activity to appropriate authorities or service providers when necessary.

Updates to SaaS Terms

These terms may be updated periodically. Continued use of SaaS services constitutes acceptance of any updated terms.

Acceptance of Terms

By using SaaS services provided by Integris Design LLC, the client acknowledges and agrees to these terms.
